OPEN WAVES WATER SOFTWARE LICENSE Version 1.2 — October 13, 2026 Copyright (c) 2026 Gabriel San Roman. All rights reserved. 1. PARTIES AND COVERED SOFTWARE This agreement is between Gabriel San Roman, doing business as Open Waves ("Licensor"), and the individual or legal entity named in a paid license order ("Licensee", "you"). "Software" means only the original Open Waves code, documentation and examples identified in the package version delivered under that order, including covered updates lawfully downloaded during a paid subscription. It does not mean the entire Open Waves game or everything visible in the game. A website visit, game account, donation, license inquiry, payment link visit or possession of source code does not itself grant a software license. 2. LICENSE GRANT, PURCHASE OPTIONS AND PAYMENT After acceptance of these terms, successful payment and issuance of an order identifying the Licensee, scope, purchase option and delivered version, Licensor grants you a non-exclusive, worldwide license to use, copy internally and modify the Software within the purchased scope. Ownership is not transferred. The right to use a lawfully acquired version is perpetual, subject to termination for breach under section 10. A subscription ending does not revoke use of your last lawfully downloaded version; it ends access to further updates. The following purchase options are available, with these USD prices before applicable taxes: - Personal One-Time: USD 100 for the purchased version; no future SDK updates. - Commercial One-Time: USD 200 per application for the purchased version; no future SDK updates. - Personal Monthly: USD 100 for the first month, then USD 20 each month. - Personal Annual: USD 280 for the first year, then USD 180 each year, paid upfront. The renewal price is equivalent to USD 15 per month. - Commercial Subscription: USD 200 billed monthly per application, or USD 1,800 billed annually and paid upfront per application (equivalent to USD 150 per month). Personal introductory totals include the initial fee disclosed at checkout: USD 80 plus the first USD 20 monthly charge, or USD 100 plus the first USD 180 annual charge. Later renewals are USD 20 monthly or USD 180 annually. Annual subscriptions are a single annual charge, not monthly installments. Subscriptions renew at the selected interval until cancelled. Your order and checkout must disclose the billing interval, actual charge, taxes, renewal terms and cancellation method before payment. You can manage a subscription or cancel its renewal through the billing link in your software account at https://openwaves.world/developers/downloads/. You may also request cancellation through https://openwaves.world/contact/. Cancellation stops future renewals; update access continues through the paid term. No revenue royalty applies to authorized use. One-time purchases have no recurring Open Waves license fee. 3. PERSONAL TIER One named individual may use the Software in multiple personal, noncommercial projects, including learning projects and noncommercial portfolio demonstrations. You may distribute finished noncommercial applications as described in section 5. The Personal tier does not permit business or client work, paid products or services, advertising revenue, sponsorship, or other commercial exploitation. Obtain a Commercial license before making a project commercial. A Personal purchase or subscription does not automatically include an upgrade credit or commercial rights. 4. COMMERCIAL TIER One named individual or legal entity may use the Software in one named commercial application recorded on the license order. The application may be sold, monetized, provided as a hosted service or used internally. There is no end-user limit. Your application updates, development and staging environments, and platform versions of the same named product are included. This application scope does not change which SDK updates your purchase option includes. Separate products and separately branded client applications require separate licenses. Employees and contractors may access the Software solely to work on the licensed application for the Licensee. The Licensee remains responsible for their compliance and must ensure their access ends when that work ends. They receive no independent right to reuse the Software. For client work, identify the client as the Licensee before delivery if the client will own, maintain or operate the application. 5. FINISHED APPLICATION DISTRIBUTION Within your tier, you may distribute or host the Software runtime as an embedded part of a finished application that has its own substantial functionality. Normal delivery of JavaScript to an end user's browser is permitted. Keep proprietary notices in distributed code and do not grant end users rights to extract, reuse or redistribute the Software independently of that application. Browser visibility does not change these terms. You may keep private source repositories and backups for authorized development. Do not publish reusable Software source or permit public access to it as a development package. 6. RESTRICTIONS AND OWNERSHIP You may not resell, sublicense, rent, share or distribute the Software as a standalone library, SDK, source repository, template, plugin, asset pack or competing developer product without separate written permission. You may not remove copyright or license notices or claim ownership of Licensor's code. These restrictions do not limit rights that applicable law makes nonwaivable. You keep ownership of your original application and your original contributions; Licensor retains ownership of the underlying Software. This agreement does not grant rights to the Open Waves name, logo, game assets, hosted game services or accounts, or a right to imply endorsement. 7. THIRD-PARTY COMPONENTS AND GOOGLE MAPS Third-party software retains its own licenses and notices. Nothing here replaces or restricts rights granted to you by those licenses. Review the package's THIRD_PARTY_NOTICES file and the dependencies you install. Google Maps Platform services and content, including imagery and 3D tile meshes, are not sold, supplied, sublicensed or owned by Licensor under this agreement. Only original Open Waves adapter code is covered. You must obtain your own eligible provider account, API authorization and billing, pay all provider fees, and satisfy applicable provider terms, restrictions and attribution requirements. This license does not authorize Google content extraction, caching, modification, rehosting or redistribution. Use of the adapter does not establish provider approval of your application. Google availability may depend on account region and provider policy. Open Waves is not affiliated with or endorsed by Google. You are responsible for rights to terrain, bathymetry, imagery and other data you supply. No Google content or API credentials are included in the package. 8. DELIVERY, UPDATES AND SUPPORT The purchaser uses the checkout email and a short-lived sign-in code to access the separate software download service. A game account or beta invitation is not required. Before the first download, identify the Licensee and, for a Commercial license, the application, and expressly accept the recorded terms version. The service records activation, the saved terms version and integrity hash, available releases and successful download grants. The terms displayed for your order are the saved order terms, which can differ from later website text. You may download a license certificate for your records. Keep a private backup of your package, certificate and the terms included with that release. An access code, payment receipt or certificate is not permission to share the reusable SDK with an unlicensed third party. Before purchase, the order must identify the package version, supported runtime, included features and delivery method. The game is a broader showcase and is not a promise that every demonstrated feature is included in the Software. The developer preview is experimental and may have defects or compatibility limits. One-time purchases include only the purchased SDK version, with no entitlement to future SDK updates. Subscriptions include continuous access to released updates of the covered SDK during the paid term. After a subscription ends, you may continue using your last lawfully downloaded version under the same Personal or Commercial scope, but access to new updates ends. A release being published or shown in a public catalog does not itself mean you acquired it. Your download record and certificate identify acquired versions. Keep a backup; perpetual use rights do not promise indefinite hosting or the future availability of every old download. A cancellation or ordinary subscription expiry alone does not terminate these perpetual use rights. A refunded or reversed transaction does not establish a new paid entitlement; any dispute about an existing grant remains subject to this agreement and applicable law. No specific release schedule or feature is promised. Unless expressly included in an order, ongoing support, custom integration, hosting and uptime commitments are excluded. Contact https://openwaves.world/contact/ for delivery or license questions. Refunds and remedies required by applicable consumer law remain available. If payment is accepted but the agreed package cannot be delivered, you may request a refund. Any additional refund conditions must be disclosed before payment. 9. WARRANTIES AND LIABILITY To the fullest extent permitted by law, the Software is provided "as is", without warranties of merchantability, fitness for a particular purpose or noninfringement. No simulation accuracy, particular performance or uninterrupted third-party access is promised. The Software is intended for interactive applications and is not validated for navigation, safety-critical decisions or engineering certification. To the fullest extent permitted by law, Licensor will not be liable for indirect, incidental, consequential or punitive damages or lost profits, and total liability under this agreement will not exceed the license fee paid for the affected order. These limitations do not apply where prohibited by law and do not exclude mandatory consumer rights or liability that cannot legally be limited. 10. TERMINATION If you materially breach this agreement, Licensor may terminate the license after written notice and 30 days to cure, unless the breach cannot reasonably be cured. On termination you must cease new development and distribution using the Software, remove it from services you operate, and delete development copies except records required by law. End-user installations lawfully distributed before termination may continue to be used solely as part of the finished application. Ownership, restrictions, payment obligations and liability provisions survive termination. 11. GENERAL The issued order and this license version form the agreement for the delivered Software. Later website changes do not retroactively change a purchased license. Separate hosted software access terms govern the purchase, authentication and download service at https://openwaves.world/developers/license/hosted-access.html (version 1.0, October 13, 2026). They do not replace the perpetual Software grant. Separate written terms signed by both parties may vary this agreement. You may not transfer the license to another individual or entity without written consent. Florida law governs, without its conflict-of-law rules, subject to mandatory laws and consumer rights in your jurisdiction. If any provision is unenforceable, the remaining provisions continue in effect. Questions: https://openwaves.world/contact/.
